Civis Agent

These Terms of Service govern your access to and use of Civis Agent at app.civisagent.com. Civis Agent is currently operating as an unincorporated entity. These terms will be updated when a legal entity is established.

1. Acceptance of Terms

By accessing or using Civis Agent, you agree to these Terms of Service. If you are using Civis Agent on behalf of a law firm, you represent that you have the authority to bind that firm to these terms.

If you do not agree to these terms, do not use Civis Agent.

2. What Civis Agent Is

Civis Agent is a case preparation tool for immigration law firms. It assists attorneys and paralegals with gathering case information, determining required forms, identifying outstanding documents, and preparing filing packages. It is a preparation tool — not a legal service, not a filing service, and not a substitute for attorney judgment.

Civis Agent uses AI-assisted processing to help organize and prepare case information. All outputs from Civis Agent require attorney review before use. Civis Agent does not provide legal advice.

3. Eligibility and Access

Access to Civis Agent is by invitation only. You may only use Civis Agent if you have received a valid invitation from either a Civis admin or a firm owner at your law firm.

You must be at least 18 years old to use Civis Agent. By using the product you represent that you meet this requirement.

You are responsible for maintaining the security of your account. You must notify us immediately at hello@civisagent.com if you become aware of any unauthorized access to your account.

4. Permitted Use

Civis Agent is provided for use by licensed immigration attorneys and their authorized staff for the purpose of preparing immigration cases for their clients.

You may use Civis Agent to:

  • Enter and manage immigration case information on behalf of your clients
  • Use AI-assisted features to organize case preparation
  • Generate filing-ready case packages for attorney review
  • Manage your firm's team members and case assignments

5. Prohibited Use

You may not use Civis Agent to:

  • Provide legal services directly to immigration applicants without attorney oversight
  • Enter false, misleading, or fraudulent information into the system
  • Attempt to access cases or data belonging to another firm
  • Reverse engineer, copy, or reproduce any part of the Civis Agent product
  • Use the product in any way that violates applicable law or professional conduct rules
  • Share your account credentials with anyone outside your firm
  • Use the product for any purpose other than immigration case preparation

6. Attorney Responsibility

Civis Agent is a preparation tool. It does not replace attorney judgment, attorney-client relationships, or professional responsibility obligations.

Attorneys using Civis Agent are solely responsible for:

  • Reviewing all case information and AI-generated outputs before use
  • Ensuring all filings comply with applicable immigration law and USCIS requirements
  • Maintaining appropriate confidentiality obligations to their clients
  • Supervising paralegals and staff who use the product
  • Compliance with their state bar's rules regarding technology and client data

Civis Agent does not warrant that any case output is accurate, complete, or suitable for filing. Every output requires attorney review.

7. Client Data

When you enter client information into Civis Agent, you represent that you have the right to do so — either through your client's informed consent or through the scope of your professional engagement with that client.

You are responsible for informing your clients about the tools you use in their representation, including Civis Agent, to the extent required by your professional obligations.

We process client data on your behalf as a service provider. Our use of client data is governed by our Privacy Policy.

8. AI Processing

Civis Agent uses OpenAI's API to process case information as part of the case preparation pipeline. By using Civis Agent, you acknowledge and agree that case narratives and case facts you enter will be processed through OpenAI's API for the purpose of case preparation.

Case data and client information is never used to train AI models — by Civis Agent or by our AI service providers under our current agreements.

Sensitive fields — including Social Security Numbers, Alien Registration Numbers, passport numbers, and USCIS account numbers — are stored directly in our database and are never sent to AI systems.

AI outputs are tools for preparation, not authoritative legal determinations. All AI-assisted outputs must be reviewed by a licensed attorney before use.

9. Availability and Modifications

Civis Agent is provided as-is during the design partner phase. We do not guarantee uninterrupted availability of the service.

We may modify, suspend, or discontinue any part of the product at any time. We will make reasonable efforts to notify active users of significant changes.

We may update these Terms of Service at any time. We will notify active users of material changes by email. Continued use of Civis Agent after notification of changes constitutes acceptance of the updated terms.

10. Intellectual Property

Civis Agent and all content, features, and functionality of the product — including but not limited to the software, design, text, and graphics — are owned by Civis Agent and are protected by applicable intellectual property laws.

You retain ownership of all case information and client data you enter into Civis Agent. By entering data into the product, you grant Civis Agent a limited license to process that data solely for the purpose of providing the service to you.

11. Confidentiality

We treat all case information and client data entered into Civis Agent as confidential. We do not share, sell, or disclose case information to third parties except as necessary to provide the service — specifically through our AI processing pipeline and database infrastructure as described in our Privacy Policy.

We expect users to treat their Civis Agent account credentials and any information about the product's internal operation as confidential during the design partner phase.

12. Disclaimer of Warranties

Civis Agent is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the product will be error-free, uninterrupted, or suitable for any particular purpose.

We do not warrant that AI-generated outputs are accurate, complete, or appropriate for filing. Attorney review of all outputs is required.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Civis Agent shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the product — including but not limited to errors in AI-generated outputs, case preparation delays, or filing errors.

Our total liability for any claim arising from your use of Civis Agent shall not exceed the amount you paid for the service in the three months preceding the claim.

During the design partner phase where the service is provided at no cost, our total liability shall not exceed one hundred dollars ($100).

14. Indemnification

You agree to indemnify and hold harmless Civis Agent from any claims, damages, losses, or expenses — including reasonable legal fees — arising from your use of the product, your violation of these terms, or your violation of any applicable law or professional conduct rule.

15. Governing Law

These terms are governed by the laws of the United States and the state in which Civis Agent is established. This section will be updated with a specific state when a legal entity is incorporated.

Any disputes arising from these terms or your use of Civis Agent will be resolved through binding arbitration rather than in court, except that either party may seek injunctive relief in court for intellectual property violations.

16. Termination

We may suspend or terminate your access to Civis Agent at any time for violation of these terms, for non-payment, or for any reason with reasonable notice.

You may stop using Civis Agent at any time. To request deletion of your firm's account and data, contact us at hello@civisagent.com.

Upon termination, your right to access the product ends immediately. Provisions of these terms that by their nature should survive termination — including intellectual property, disclaimer of warranties, limitation of liability, and indemnification — will survive.

17. Entire Agreement

These Terms of Service and our Privacy Policy constitute the entire agreement between you and Civis Agent regarding your use of the product. They supersede any prior agreements or understandings.
